Affiliate Agreement
This Affiliate Terms and Conditions (the “Agreement”) is a contract between you (“You” or “Affiliate”) and Kitchen Museum (hereinafter referred to as “the Company”) for the registration and appointment of the Affiliate to supply the Company with Channel Promotion. The Affiliate and the Company will be referred to as the “Parties” collectively and as the “Party” individually.
By clicking the “I Accept” button, the Affiliate must read, agree to, and accept all of the terms and provisions contained in this Agreement, and the Parties hereby agree, acknowledge, and accept that clicking such button will instantly form a valid, effective, and legally binding agreement between the Parties for good consideration. This Agreement constitutes the complete and exclusive statement of the agreement of both the Parties with respect to the subject matter of this Agreement, and supersedes all prior oral and written The Parties’ commitments, understandings, and communications on the subject. 1. DEFINITIONS
1.1 Advertising Material refers to any advertising materials provided by the Company to the Affiliate for publication on the Affiliate’s Accounts solely for the purpose of executing the Channel Promotion in compliance with the terms and conditions hereunder.
1.2 The terms “affiliate” and “you” shall have the meanings set out in the Preamble (i.e. the first Party named above, who shall be engaged for the purpose of, and authorized by the Company to promote the Channels on the terms and conditions of this Agreement).
1.3 “Affiliate’s Account” refers to all advertising and/or promotion-capable medias used by the Affiliate, such as websites, applications, social media accounts, emails, audiovisual media channels (whether digital or traditional), newsletters, Affiliate networks’ sub affiliates, their owned and brokered medias, to publish the Advertising Materials for the Promotional of the Channels, in accordance with the terms hereunder.

1.7 “Click” refers to a Customer’s action of clicking on an Affiliate-provided Hyperlink that directs the Customer to the Channel (s).
1.8 The term “Commission” has the same meaning as it does in Clause 3.1.
1.9 “Commission Exemptions” has the same meaning as it does in Clause 3.2 below.

1.11 The word “confidential information” has the meaning set forth in Clause 6.1.
1.12 The term “customer” has the meaning set forth in Clause 2.1 below.
1.13 “Hyperlink” means a link provided by the Company to the Affiliate, in the form of an exact URL, to the Channel (or a specific Product listing on the Channel), to be published by the Affiliate in the Affiliate’s Accounts, that identifies the Affiliate whenever a Customer Clicks on it.
1.14 All patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress, and service mark rights, goodwill, trade secret rights, and other intellectual property rights that may now or in the future exist, as well as all applications, registrations, renewals, and extensions thereof, as defined by the laws of any state, country, territory, or other jurisdiction.
1.15 “Invoice” refers to the monthly invoice provided by the Company on behalf of the Affiliate that details the Commissions that accrued in the previous calendar month, minus any relevant deductions.
1.16 “Net Sales” refers to the revenue received by the Company for the sale of any Product to the Customer involving (1) the Customer’s click of a hyperlink; and/or (2) the Customer’s input of a Voucher Code at checkout on the Channel; and where such sale is not caused directly or indirectly by a Commission Exemption; minus all applicable discounts (whether through Voucher Code, or otherwise applied by the seller of the Product or the Company at checkout).
1.17 “Product” refers to any product(s) posted for sale on the Company’s Channels by third-party vendors.
1.18 The term “promotion” has the meaning set forth in Clause 2.1 below. After a Customer successfully challenges an item on their card’s account statement or transactions report with their bank, a charge is returned to that Customer’s payment card (whether a debit, credit, or charge card, as the case may be).
1.19 “Returns and Refunds Policy” refers to the applicable Company policies that govern the procedure for Customer returns and refunds of Products on the relevant Channels, which can be found at Bangladesh Returns and Refunds Policy.
1.20 “Word” has the same meaning as the term defined in Clause 11.1 below.
1.21 The term “territory” refers to any geographical region on the planet.
1.22 The term “VAT” refers to value-added taxes.
